Intellectual Property Rights and Privacy

The organization must adhere to applicable laws, regulations, and contractual obligations concerning the preservation of privacy and protection of Personally Identifiable Information (PII) and Protected Health Information (PHI). Company shall have sole ownership and owns the intellectual property rights including the unlimited right to develop, amend, adapt, transfer, sublicense and relinquish rights in and to the end results of services created under this agreement subject to it. The rights described above, shall transfer to Company upon creation of end results.

If the vendors deliver to Company within the scope of this agreement any material that is its own material prepared earlier or in other connection, with the vendor holding said material’s intellectual property rights, this shall be expressly agreed upon in this agreement, in which the rights to such material belonging to Company shall also be determined. However, Company shall receive at least the right to use such material for an unlimited period, including an unlimited right to develop, adapt and relinquish this kind of material further, and the pertaining rights. Unless this kind of material, either prepared earlier or in another connection, is expressly specified in this agreement, all material delivered within the scope of this agreement shall be deemed to belong to Company in accordance with the above description. Intellectual property rights (IPR) and privacy shall be included in the Non-Disclosure Agreement (NDA), and acknowledgment of these terms shall be obtained from stakeholders.
